The City of Bristol Pension Fund, the City of Milford, the Connecticut Pension & Retirement Board, Pavers and Road Builders Pension, Annuity and Welfare Funds, the City of Newport News Employees’ Retirement Fund, and the Massachusetts Laborers’ Pension Fund (collectively, the “Class Representatives” or “Lead Plaintiffs”), on behalf of themselves and the other members of the Class (defined below), have reached a proposed settlement of the Action for $50,000,000 in cash that, if approved, will resolve all claims in the Action.

If you are a member of the Class, your rights will be affected and you may be eligible for a payment from the Settlement. The Class consists of:

All persons and entities who purchased or otherwise acquired publicly traded shares of common stock of SanDisk Corporation from October 16, 2014, through April 15, 2015, inclusive (the “Class Period”), and were damaged thereby.

If you are a member of the Class, in order to be potentially eligible to receive a payment under the proposed settlement, you must submit a Claim Form no later than September 12, 2019. Payments to Authorized Claimants will be made only if the Court approves the Settlement and a Plan of Allocation, and only after any appeals are resolved, and after the completion of all claims processing. Please be patient, as this process will take some time to complete.

Class Members' Legal Rights and Options in This Action
Submit a Claim Form The only way to be eligible to receive a payment from the Net Settlement Fund. Claim Forms must be postmarked or submitted no later than September 12, 2019.
Opt-Back into the Class If you previously submitted a request for exclusion from the Class in connection with the previously mailed Class Notice and now want to be part of the Class in order to receive a payment. Requests must be received no later than September 5, 2019.
Exclude Yourself Get no payment. This is the only option that potentially allows you to ever be part of any other lawsuit against Defendants about the legal claims being resolved by this Settlement. Exclusions must be received no later than September 5, 2019.
Object Write to the Court about why you do not like the Settlement, the Fee and Expense Application and/or the Plan of Allocation. If you object, you will still be a member of the Class. Objections must be received no later than September 5, 2019.
Go to a Hearing Ask to speak in Court about the Settlement on September 26, 2019.
Do Nothing Get no payment AND Give up your rights to bring your own individual action.
